Introduction
Welcome to RoadDocZ, a product of RoadTalkz, Inc. (“RoadDocZ,” “we,” “us,” or “our”). These Terms of Service (“Terms”) apply to and govern your access to and use of the RoadDocZ website, mobile applications, and all related tools, features, content, and services (collectively, the “Service”).
By accessing, browsing, configuring, or using the Service in any capacity, you acknowledge and agree that:
you have read and understand these Terms,
you have the authority to accept these Terms on behalf of the business or organization you represent (the “Customer” or “User”), and
your use of the Service constitutes a binding agreement between the Customer and RoadTalkz, Inc.
If you do not agree to these Terms, or if you are not authorized to accept them on behalf of the Customer, you must not access or use the Service.
These Terms operate together with the RoadDocZ Privacy Policy and any additional notices, policies, or guidelines provided within the Service. Together, these documents form the complete, legally binding framework governing your use of the RoadDocZ platform.
1. Scope and Acceptance
RoadDocZ provides a secure platform for fleets and transportation companies to manage compliance and safety documentation.
If you access or use the Service in any capacity (“User”), you acknowledge and agree to be bound by these Terms. If you are accessing the Service on behalf of an organization (the Customer), you represent and warrant that you have authority to bind that Customer to these Terms.
All Users — including administrators, managers, employees, contractors, and drivers — are subject to these Terms when accessing the Service. The Customer remains solely responsible for:
creating and managing User accounts,
assigning roles and permissions,
ensuring lawful use of the Service, and
determining what information is uploaded, stored, or processed.
2. Accounts and Access
Fleet-Administered Accounts
All accounts — including driver and employee profiles — are created and managed solely by the Customer.
User Responsibilities
Users must:
safeguard their login credentials,
use the Service only within their assigned permissions, and
notify the Customer administrator or RoadDocZ immediately of unauthorized access.
Accuracy
The Customer is responsible for ensuring uploaded documents and account information are accurate, lawful, and properly authorized.
RoadDocZ does not verify, alter, or validate Customer-provided content.
3. Service Use and Restrictions
Users and Customers agree to use the Service solely for lawful business purposes. Prohibited activities include:
reverse-engineering, copying, sublicensing, or reselling the Service
uploading unlawful, confidential, or unauthorized third-party data
attempting unauthorized access or compromising system integrity
using the Service in violation of applicable law
RoadDocZ may suspend or terminate access for violations of these Terms.
4. Data Ownership and Privacy
All data uploaded to the Service remains the exclusive property of the Customer.
RoadDocZ acts solely as a data processor on behalf of the Customer, in line with the Privacy Policy.
The Customer controls User access, data permissions, and deletion requests.
We maintain commercially reasonable security measures; however, no system is completely risk-free.
5. Intellectual Property
All trademarks, branding, logos, software, and platform content are owned by RoadTalkz, Inc.
Customers retain full rights to their own uploaded documents and materials.
No rights are transferred except where expressly granted in these Terms.
6. Subscription and Payment Terms
Unless otherwise stated in a written purchase order executed between the Customer and RoadTalkz, Inc., all subscription fees and billing terms are governed by these Terms.
Default Billing Terms
Fees are billed in advance.
Payment is due immediately through supported payment methods.
Subscriptions auto-renew unless canceled before renewal.
Pricing changes require notice; continued use implies acceptance.
Refunds are not provided except as required by law.
Overrides by Purchase Order
If a signed purchase order or custom pricing agreement exists, its terms supersede conflicting payment terms here.
Non-Payment, Suspension, and Termination
RoadDocZ uses Stripe exclusively for payment processing.
Failed Payments
If Stripe cannot process a payment, the Customer receives an automatic notice from Stripe.
Suspension (After 5 Days)
If payment is not resolved within five (5) days of Stripe’s notice, RoadDocZ may suspend all User access.
Termination (After 14 Days)
If overdue balances remain unpaid for fourteen (14) days after suspension, RoadDocZ may terminate the account and restrict or delete access to stored data per the retention policy.
Interest
Unpaid balances may accrue interest at 1.5% per month or the maximum allowed by law.
Collections
The Customer agrees to pay all reasonable recovery costs, including:
collection agency fees
legal fees and court costs
administrative recovery fees
Stripe chargeback or dispute fees
Customer Billing Obligations
The Customer must maintain valid, accurate billing information in Stripe at all times.
Chargebacks
If a Customer initiates a chargeback:
RoadDocZ may suspend access immediately
All disputed amounts must be settled
Stripe’s dispute fees may be charged to the Customer
Obligation Survives Termination
Suspension or termination does not cancel unpaid subscription amounts.
7. Service Availability
The Service is provided on an “as available” basis.
RoadDocZ is not liable for:
outages
maintenance periods
third-party service failures
force majeure events
conditions beyond its control
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
ROADTALKZ, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
a. Excluded Damages
RoadTalkz, Inc. shall not be liable for indirect, incidental, consequential, punitive, or special damages, including loss of profits, data, business interruption, or reputation.
b. Liability Cap
Total liability shall not exceed the fees paid by the Customer in the three (3) months preceding the claim.
10. Exclusive Remedy
The Customer’s sole remedy is limited to either:
a refund of fees paid, or
a service credit,
not exceeding three (3) months of subscription fees.
11. Dispute Resolution, Mandatory Mediation, and Binding Arbitration
a. Mediation
Parties must attempt mediation in Cook County, Illinois before arbitration.
b. Arbitration
If mediation fails, disputes shall be resolved through binding arbitration in Cook County, Illinois, administered under commercial rules of AAA, JAMS, or similar providers.
c. Class Action Waiver
CLASS, COLLECTIVE, AND REPRESENTATIVE ACTIONS ARE WAIVED.
d. Jury Trial Waiver
BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.
12. Governing Law
These Terms and all disputes are governed exclusively by the laws of the State of Illinois.
All mediation and arbitration shall occur in Cook County, Illinois.
13. Termination
RoadDocZ may suspend or terminate access for:
violations of these Terms
security risks
non-payment
misuse of the platform
Customer data handling upon termination follows the retention and deletion policy.
14. Modifications
RoadDocZ may update these Terms periodically.
Continued use of the Service constitutes acceptance of the updated Terms.
